MarketMispricing is not a registered investment adviser, broker-dealer, or financial institution. Nothing on this Platform constitutes financial, investment, legal, or tax advice, nor is it intended as such.

All content, including signals, alerts, analytics, AI-generated outputs (including those from “M2 AI”), and any other information provided through the Platform is for informational and educational purposes only. Nothing on the Platform should be construed as a recommendation, solicitation, or offer to buy, sell, or hold any security, option, or financial instrument.

2. No Solicitation or Offer

The content on this Platform is neither a solicitation nor an offer to buy or sell any security, nor is it intended to advise any party on the suitability or profitability of any security or investment strategy. All trade ideas, signals, and strategies shared on the Platform are for informational purposes only and may be based on simulated environments using real-time or hypothetical data.

No content on the Platform should be interpreted as an endorsement, guarantee, or assurance that any particular trading strategy or outcome is achievable.

3. No Reliance

You acknowledge and agree that any information, signals, analytics, or outputs provided by the Platform may be incomplete, inaccurate, delayed, or incorrect. You agree not to rely solely on the Platform when making trading, investment, or financial decisions.

Zero-days-to-expiration (0DTE) options, in particular, carry extreme risk due to rapid time decay and amplified price movements near expiration. You may lose some or all of your invested capital, and in certain cases you may incur losses exceeding your initial investment.

You represent that you understand the risks associated with options trading and that you have the financial resources to bear such risks. You agree to conduct your own due diligence and independent research before making any trading or investment decisions.

5. No Guarantee of Results

No representation is made that any account will or is likely to achieve profits or losses similar to those shown on this Platform.

Results shown on the Platform — including simulated profit and loss (“P&L”), win rates, signal performance, historical accuracy, and any other performance metrics — are hypothetical and do not represent actual trading results. Hypothetical or simulated performance results have inherent limitations: they are generally prepared with the benefit of hindsight, do not reflect actual trading, do not account for slippage, commissions, fees, or the impact of actual market liquidity, and may over- or under-state actual performance.

Examples, strategies, and performance figures discussed on the Platform are intended for educational and illustrative purposes only. There is no guarantee that any signal, strategy, or approach will produce profitable results in live trading.

MarketMispricing assumes no responsibility or liability for any financial, trading, or investment decisions made based on information provided on this Platform.

7. No Guarantees; Model, AI, and Data Limitations

We make no representations or warranties regarding the accuracy, completeness, timeliness, reliability, or suitability of any information provided on the Platform.

The Platform relies on:

• proprietary algorithms and predictive pricing models
• artificial intelligence systems (including M2 AI)
• third-party data sources and market data feeds

These systems may produce outputs that are inaccurate, incomplete, delayed, or misleading. Market conditions change rapidly, and our systems may not account for all relevant variables, including but not limited to liquidity, market microstructure, extraordinary events, or data feed interruptions.

Past performance is not indicative of future results.

8. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SIGNALS, DATA, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any signals, outputs, or information will be accurate, timely, or complete.

9. Market Data and Availability

Market data provided through the Platform may be delayed, incomplete, or inaccurate. We do not guarantee the availability, accuracy, or timeliness of any data, and we are not responsible for errors or omissions in third-party data sources.

The Platform may experience interruptions, outages, maintenance periods, or delays. We are not responsible for any losses, damages, or missed opportunities resulting from such issues.

10. Subscription Terms and Payment

Certain features of the Platform require a paid subscription (“Pro”).

• Subscriptions are billed on a recurring monthly basis at the rate displayed at the time of purchase.
• Your subscription will automatically renew unless canceled prior to the renewal date.
• You authorize us to charge your payment method on file for all applicable fees.
• All fees are non-refundable except as expressly stated in Section 11.
• We reserve the right to change subscription pricing with 30 days' advance notice.

Payment obligations survive any termination or expiration of these Terms. You are responsible for all charges incurred under your account.

11. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support@marketmispricing.com.

• Cancellation takes effect at the end of your current billing period.
• You will retain access to paid features through the remainder of your billing period.
• We do not provide refunds for partial billing periods.
• Refunds, if any, are issued at our sole discretion.

12. Acceptable Use

You agree not to:

• Redistribute, resell, sublicense, or commercially exploit any signals, data, or outputs without our prior written permission
• Reverse-engineer, decompile, disassemble, or attempt to extract underlying algorithms, models, or source code
• Use automated systems, bots, scrapers, or similar tools to access, scrape, or collect data from the Platform
• Interfere with, disrupt, or place an undue burden on the Platform or its infrastructure
• Circumvent any access controls, rate limits, or security measures
• Share account credentials or allow unauthorized access to your account
• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations

Violation of this section may result in immediate termination of your account and access without notice or refund.

13. Intellectual Property

All content, software, algorithms, models, trade secrets, data compilations, user interfaces, designs, and materials provided through the Platform are owned by or licensed to MarketMispricing and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use only, subject to these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or any of its content without our prior written consent. All rights not expressly granted herein are reserved.

Any feedback, suggestions, or ideas you submit regarding the Platform may be used by us without any obligation of compensation or attribution to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARKETMISPRICING, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• loss of profits or anticipated profits
• trading or investment losses
• loss of data or data breach
• loss of opportunity or goodwill
• business interruption
• cost of substitute services

arising from or related to your use of, reliance on, or inability to use the Platform, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless MarketMispricing and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

• your use of or access to the Platform
• your violation of these Terms
• your trading, investment, or financial decisions
• your violation of any third-party rights
• your violation of any applicable law, rule, or regulation

This indemnification obligation shall survive the termination of these Terms and your use of the Platform.

16. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and MarketMispricing agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (collectively, “Disputes”) shall be resolved through binding individual arbitration, except that either party may seek injunctive or other equitable relief in court for matters relating to intellectual property or unauthorized access to the Platform.

Arbitration shall be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be held in the State of Washington or at another mutually agreed-upon location. The arbitration shall be conducted in English.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

17. Class Action Waiver

YOU AND MARKETMISPRICING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Unless both you and we agree otherwise, the arbitrator may not consolidate or join more than one person's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

18. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or non-payment of fees.

Upon termination, your right to use the Platform will immediately cease. The following sections shall survive termination: Sections 1–8 (Disclaimers and Warranties), 13 (Intellectual Property), 14 (Limitation of Liability), 15 (Indemnification), 16–17 (Arbitration and Class Action Waiver), 20 (Governing Law), and any payment obligations incurred prior to termination.

19. Consent to Communications

By creating an account or using the Platform, you consent to receive electronic communications from MarketMispricing, including but not limited to service announcements, product updates, promotional offers, and administrative notices.

You may opt out of promotional communications at any time by using the unsubscribe link in any email or by contacting support@marketmispricing.com. Opting out of promotional messages does not affect transactional or service-related communications.

20. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will use reasonable efforts to notify you via email or through the Platform at least 15 days before the changes take effect.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must discontinue use of the Platform.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law principles.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MarketMispricing regarding your use of the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
